DETROIT -- Ford Motor Co. expects an operating loss of more than $5 billion in the second quarter as the financial toll of the coronavirus crisis continues to worsen.

The automaker said Tuesday that it lost $632 million before interest and taxes in the first quarter, although it made $346 million before interest and taxes in North America. That came despite shuttering U.S. assembly plants for the final two weeks of the quarter.

The operating loss and $2 billion net loss Ford posted Tuesday were in line with the preliminary results it reported in a regulatory filing April 17.

CFO Tim Stone at the time said Ford had "sufficient cash today to get us through at least the end of the third quarter with no incremental vehicle production and wholesales or financing actions."

The company said Tuesday that it still can't provide full-year guidance because "today's economic environment remains too ambiguous."

Ford's U.S. vehicle sales fell 12 percent in the first quarter, with most of the damage coming in late March as the pandemic swept across the country. The automaker on March 18 agreed to close all of its U.S. factories to protect workers and help stop the spread of the virus.

On Wall Street, Ford shares gained 4.1 percent to close at $5.38 before the earnings report was released.

This story will be updated.

Jim Hackett plans to retire Oct. 1 as Ford Motor CEO after a three-year tenure in which he empowered workers to make quicker decisions and started a broad restructuring effort that hasn’t yet bolstered profits.

Jim Farley, a former Toyota Motor executive and lifelong car enthusiast who was promoted to chief operating officer in February, will become Ford’s third CEO since Alan Mulally left six years ago, the company said Tuesday.

Hackett, 65, said the changes he instituted have taken root and he felt now was the right time to leave the company to what Executive Chairman Bill Ford called "the next generation." Hackett will work with Farley to over the next two months to ensure a smooth transition, the company said.

Hackett, a former CEO of furniture-maker Steelcase, implemented sweeping redesigns of Ford’s business after he was named CEO in May 2017 in an effort to improve what he called Ford’s “competitive fitness.” But Ford’s share price continued to fall, a metric that ultimately doomed his predecessor, Mark Fields.

Still, Bill Ford said he was pleased with what Hackett accomplished.

"I am very grateful to Jim Hackett for all he has done to modernize Ford and prepare us to compete and win in the future," Bill Ford said in a statement. "Our new product vision -- led by the Mustang Mach-E, new F-150 and Bronco family -- is taking shape.

"We now have compelling plans for electric and autonomous vehicles, as well as full vehicle connectivity. And we are becoming much more nimble, which was apparent when we quickly mobilized to make lifesaving equipment at the outset of the pandemic."

Several roles

Farley has held a number of roles with Ford since Mulally hired him away from Toyota in 2007, including stints overseeing its marketing and leading its European operations. His appointment as COO earlier this year made it clear that he was the leading candidate to eventually succeed Hackett.

“I love Ford and I am honored by the opportunity to serve and create value for Ford’s employees, customers, dealers, communities and all of our stakeholders,” Farley said in a statement. “Jim Hackett has laid the foundation for a really vibrant future and we have made tremendous progress in the past three years. I am so excited to work together with the whole Ford team to realize the full potential of this great company in a new era.”

Ford in an SEC filing said Farley’s annualized base salary would increase to $1.7 million from $1.4 million.

Bill Ford said the company didn’t consider any other outside executives.

“Everybody was getting very, very inspired by Jim Farley’s leadership,” he said on a media call. “Every time we threw some names around we always felt Jim Farley rose to the top."

Farley was named head of Ford's Europe, Middle East and Africa region in January 2015 after serving as executive vice president of global marketing and sales since 2010. He moved back to Ford's U.S. headquarters in May 2017 with expanded responsibilities that included global sales and marketing and development for electric vehicles.

Hackett was elevated to CEO in May 2017 to be a change agent at Ford and help speed up its decision making. Under his tenure, Ford instituted a global redesign that prioritized what he called design-thinking.

Design thinking

Under Hackett’s watch, Ford instituted a global restructuring that prioritized what he called design thinking. Ford cut thousands of salaried jobs to reduce bureaucracy and improve work efficiency. He also eliminated sedans and placed an increased focus on high-profit, emotional nameplates such as the F-Series, Mustang and Bronco.

Hackett sparred early on with investors and analysts who wanted to see more details of his turnaround plan.

"I knew it would test the patience of our stakeholders,” Hackett said Tuesday of his efforts. “You're starting to see the fruits of our labor."

Despite the ongoing coronavirus pandemic, Hackett said he realized this spring that it would be a good time to step down because "the wind in our sails is really starting to pick up." He credited Farley with helping steer the company through the crisis and said he’s excited by a slate of upcoming new or redesigned products.

"My goal when I took on the CEO role was to prepare Ford to win in the future," Hackett said in a statement. "The hardest thing for a proud, long-lived company to do is change to meet the challenges of the world it's entering rather than the world it has known. I'm very proud of how far we have come in creating a modern Ford and I am very optimistic about the future."

‘Jimmy Car-Car’

Despite starting his automotive career with Toyota in 1990, Farley has deep roots with Ford. His grandfather, Emmett Tracy, joined the company in the early 1900s. While spending the summer in California at age 14, he bought a black 1965 Mustang fastback, rebuilt the engine, then traded a plane ticket for fuel money and drove to Michigan -- without a license -- to visit his parents.

As a child, his friends called him "Jimmy Car-Car." He's an avid racer who still races Ford vehicles on the weekends and has joked that some of the biggest headaches in his marriage come from haggling a yearly budget for the hobby.

During his 17 years at Toyota, Farley launched the youthful Scion brand and was general manager of the Lexus luxury division.

A Ford spokesman said the company does not intend to appoint a replacement for Farley as COO, a position that was vacant for years before he held it.

Ford Motor will pool its CO2 output with Volvo Cars to avoid a fine from the European Union for missing its 2020 emissions reduction target.

Ford said earlier this month it would need to take the step after it was forced to stop sales of its key low-emissions model, the plug-in hybrid version of its Kuga SUV, because of a battery heating issue. Ford in August recalled 20,808 Kuga plug-in hybrids after a number of vehicles caught fire.

A Ford of Europe spokesman said on Thursday: "Based on our product roadmap and production schedule for this year, we expected to comply with the new regulations. However, given the current supplier battery issue with the Kuga PHEV, Ford now will enter a pool to meet the EU’s 2020 emissions regulations without penalty for passenger vehicles."

The spokesman said Ford will pool with Volvo.

Ford faces a financial hit of $500 million to $600 million in the third and fourth quarters because of the problems with the SUV.

Chief Financial Officer John Lawler said about $400 million of that hit came in the third quarter and the automaker expects the fourth quarter impact to be “somewhere between $100 million to $200 million.”

“That includes the impact of the pooling effort that we're going to have to undertake for passenger vehicles in Europe,” Lawler said during a conference call on Wednesday.

Ford declined to say how much it would pay Volvo to join its pool.

Volvo also declined to comment, only saying in a release that the “resulting revenue from the deal will be reinvested in new green technology projects.”

Volvo said since Ford is the pool manager it is responsible for any EU fine if the CO2 target is not reached.

Volvo and its subsidiary, Polestar, are on track to be well below their mandated EU target of 110.3 grams per km for 2020. Through eight months the two brands’ CO2 was 103.1 g/km, according to data from market researcher JATO Dynamics.

Ford was within 1.4 g/km of meeting its CO2 target by the end of the first half of the year, according to a report from Transport & Environment. Based on that, the green lobby group predicted Ford was on course to meet its CO2 obligations in Europe.

Ford said that paying fines was not an option, adding that it would have met its CO2 target of 98 g/km for the year had it not run into problems with the Kuga.

Volvo was part of Ford until 2010 when Ford sold the Swedish automaker to its current owner, China's Zhejiang Geely Holding.

Regulatory pools are a legal solution that allows companies at risk of missing their emission targets to join competitors with lower fleet CO2.

Other automakers are creating emissions pools to avoid EU penalties.

Volkswagen Group is pooling its emissions with Chinese joint venture partner SAIC Motor and its UK subsidiary MG Motor. Fiat Chrysler Automobiles has pooled with Tesla.

Jaguar Land Rover has no pooling partner and has set aside 90 million pounds ($118 million) to pay a likely European Union fine for failing to meet its CO2 target.

Ford, Mahindra call off plans for India JV

Ford is reversing plans to cede most of its Indian operations to Mahindra & Mahindra, deciding to pull out of a proposed joint venture and continue its standalone business in the country.

The companies agreed to terminate the venture after reassessing in part due to the global coronavirus pandemic, they said Thursday.

"The global economy and business environment are not the same as October last year," Ford spokesman T.R. Reid said.

The deadline to finalize a joint venture between the companies was Dec. 31, and both made the decision to end the agreement rather than close a deal or extend the timetable to do so, Reid said.

Under the agreement Ford was expected to fold its local operations, including two factories, into a joint venture that would be majority-controlled by Mahindra, a leading Indian manufacturer of sport utility vehicles. Ford had valued the alliance at $275 million when it was announced in 2019.

Mahindra ranked sixth in sales in India through October, according to data from LMC Automotive, with a total of 102,485 sales, a 46 percent decline from 2019. Ford ranked 10th, with 40,164 sales in the period, a decline of 38 percent. Passenger vehicle sales were down 17 percent overall, LMC said, as the country recovered from a strict coronavirus lockdown in April that led to zero new car sales for the month.

Jim Farley, who became Ford CEO officer in October, said in 2019 that the JV with Mahindra could allow Ford to double its revenue from India. Ford executives have promoted a strategy that includes partnerships, including with Mahindra, as a way to increase efficiencies and reduce costs on its path to achieve 8 percent global operating profit margins.

India future unclear
The future of Ford's business in India is unclear as it has struggled for more than two decades to grow in India, the world's fourth-largest auto market. "The company is actively evaluating its businesses around the world, including in India," Ford said a statement.

The automaker took a $799 million impairment charge in 2019 in anticipation of the asset transfer to Mahindra to account for what it called "fair value less cost to sell."

Reid, the Ford spokesman, said that the termination of the deal won't affect that valuation. "There will be no impact on the impairment that we recorded previously," he said.

The automakers had said they would cooperate to develop an electric car for emerging markets and work together to introduce three new models to be sold under the Ford brand in India, starting with a midsize SUV.

Ford did not specify what would become of those projects. Mahindra said in its own statement the venture's termination would no affect its product plans. "Mahindra is accelerating its efforts to establish leadership in electric SUVs," it said

DETROIT — Ford Motor Co. is ceasing vehicle output in Brazil, closing three plants and ending sales of nameplates such as the EcoSport in the region as it continues a global restructuring plan started by former CEO Jim Hackett.

The move will cost the company $4.1 billion, with $2.5 billion booked in 2020 and $1.6 billion in special charges coming later this year. The closures will help Ford become consistently profitable in a region that has hemorrhaged money in recent years, company officials said.

The automaker said production will cease immediately at Camacari and Taubate engine plants in Brazil, with some parts output continuing for a few months to support inventories for aftermarket sales. The company's Troller plant in Horizonte, Brazil, will continue to operate until the fourth quarter, Ford said.

Ford will end sales of the EcoSport, Ka and Troller T4 in South America once inventories are sold. The moves will affect about 5,000 workers.

"With more than a century in South America and Brazil, we know these are very difficult, but necessary, actions to create a healthy and sustainable business," Ford CEO Jim Farley said in a statement. "We are moving to a lean, asset-light business model by ceasing production in Brazil and serving customers with some of the best and most exciting vehicles in our global portfolio. We will also accelerate bringing our customers the benefits of connectivity, electrification and autonomous technologies to efficiently address the need for cleaner and safer vehicles well into the future."

Despite the closures, Ford will retain a presence in South America.

In Brazil, it will continue to offer sales, service, aftermarket parts and warranty support. Ford will also maintain its product development center in Bahia, its proving ground in Tatui, Sao Paulo, and its regional headquarters in Sao Paulo.

Elsewhere, Ford said manufacturing operations in Argentina and Uruguay, and the sales companies in other South America markets, are not affected by Monday's announcement. It will continue to offer vehicles such as the Ranger, Transit, Bronco and Mustang Mach 1 as well as "several new connected and electrified vehicles," it said.

The moves are part of an $11 billion global restructuring announced in 2018 under Hackett. His successor, Jim Farley, has re-committed Ford to goals of 8 percent global margins.

The closures -- along with an announcement last year that it would close another plant in Sau Paulo, Brazil -- leave Ford with two assembly plants in South America.

“I want to emphasize that we are committed to the region for the long-term and will continue to offer customers full sales, service and warranty support,” Lyle Watters, president of Ford South America and the International Markets Group, said in a statement. “This is especially true as we bring to market a robust lineup of exciting connected and electrified SUVs, pickups and commercial vehicles from within and outside of the region.”

Ford said it will sell only full-electric passenger cars in Europe by 2030 as part of a new growth strategy in the region.

The move will be supported by the company's strategic alliance with Volkswagen Group to use VW's MEB electric-car platform, Ford said in a statement on Wednesday.

Ford will invest $1 billion in a new electric vehicle manufacturing center at its factory in Cologne, Germany, as part of the electric-only transformation.

The automaker's first European-built, mass-market full-electric car will roll off the lines in Cologne starting in 2023, Ford said. The factory, which currently builds the Fiesta small hatchback, will have the potential to build a second full-electric vehicle.

"We successfully restructured Ford of Europe and returned to profitability in the fourth quarter of 2020. Now we are charging into an all-electric future in Europe," Ford of Europe President Stuart Rowley said in the statement.

The announcement underlines Ford's "commitment to Europe and a modern future with electric vehicles at the heart of our strategy for growth," he said.

Rowley told Automotive News Europe last year that Ford's MEB-based electric cars will be "highly differentiated" from VW's ID range of battery-powered vehicles.

As an interim step to becoming all-electric, all Ford passenger vehicles sold in Europe will be have battery or plug-in hybrid drivetrains by mid-2026.

Ford said it will also "substantially electrify" its commercial vehicle range.

The company's commercial vehicle range in Europe will be full-electric or plug-in hybrid by 2024 and the company expects two-thirds of commercial vehicle sales to be all-electric or plug-in hybrid by 2030. The company gave no date for the end of combustion engine availability in its vans.

Ford this year will begin sales of its Mach E electric SUV after a difficult rollout last year of its first plug-in hybrid passenger vehicle, the Kuga PHEV, which had to be recalled after issues with the Samsung batteries.

Ford’s announcement comes after the UK, Ford’s biggest European market, said last year it would ban the sales of internal combustion engine passenger cars in 2030, although the British government has subsequently said it will allow sales of full-hybrid and plug-in hybrid vehicles to continue for a further five years.

In making the 2030 electric-only commitment, Ford becomes the biggest automaker operating in Europe to commit to ending sales of internal combustion engine passenger vehicles.

Jaguar Land Rover said on Monday that its Jaguar brand will become all-electric starting in 2025.

Bentley has said it will drop internal combustion engines from its cars by 2030 and switch its entire model range to full-electric vehicles.

Volvo CEO Hakan Samuelsson told the Financial Times Future of the Car Summit in December that he envisions the Swedish automaker becoming an electric-only brand by 2030.

Ford Motor is nearing a decision to license Volkswagen’s electric-car technology for a second model to be sold by Ford in Europe, people familiar with the matter said, a move that would deepen ties between two of the world’s largest automakers.

Talks regarding Ford using VW’s underpinnings -- known as MEB -- for another electric vehicle could lead to an agreement in the coming weeks, said the people, who asked not to be identified because the negotiations are private. Ford has already said it plans to produce a car using MEB in Cologne, Germany, from 2023.

“As we have said previously, there is the potential for a second all-electric vehicle based on the MEB platform to be built at Cologne, and that is still under consideration,” Ford of Europe said in an emailed statement. VW declined to comment.

Ford has been accelerating EV plans under CEO Jim Farley, one of the main architects of the alliance the two companies formed in 2018. Their cooperation initially focused on commercial vans and was expanded a year later to include self-driving technology and EVs.

On Tuesday, Ford said it will build a $185 million battery research lab in Michigan with the goal of manufacturing its own batteries and cells for EVs.

“This only starts to hint at our electric-vehicle ambitions,” Farley said during an earnings call Wednesday. “There is so much more to come.”

Sharing MEB allows VW to boost economies of scale for the platform used by models including the ID4 compact electric crossover. In return, Ford saves time and development expense. UBS Group analysts recently did a teardown analysis of VW’s ID3 and praised MEB for stacking up well against Tesla on costs and other key aspects.

It comes as no surprise that the biggest setback for electric cars has been range anxiety and the 'inconvenience' of charging them.

Ford has released little detail about the EV it will build in Cologne two years from now. It announced earlier this week it will invest $300 million to build a new light commercial vehicle at its Craiova factory in Romania, including an all-electric version due in 2024. This vehicle won’t share VW’s EV technology.

Ford will look to build more on its American heritage with its future European line-up, according to the firm’s European boss.

The company is the only mainstream American-owned manufacturer still operating in the European market, and European boss Stuart Rowley said that gave it a point of differentiation from rivals. Major rival GM quit the UK market after selling Vauxhall. US brand Jeep does sell vehicles in the UK, but it only has a limited range of off-roaders and is now part of the Dutch-based Italian-French Stellantis group.

Ford has long had a bespoke UK and Europe line-up developed locally. Its product range has changed substantially in recent years, with the new Puma crossover now outselling the perennially best-selling Fiesta, and the firm recently announcing it was axing the Mondeo saloon.

“You’re seeing the Ford portfolio change in Europe as we make the shift and grow further in utilities [SUVs],” said Rowley during the FT Future of the Car conference. “Going forward we’ll have a more differentiated, more opinionated portfolio of passenger vehicles, that will all be electrified and we’ll build experiences around them.”

Rowley highlights the success of the Mustang, which Ford reintroduced to the UK market a decade ago, and which has now been expanded into a sub-brand encompassing the muscle car and the Mustang Mach-E electric SUV.

Ford will also offer the latest plug-in hybrid version of the Explorer large SUV, which has long been one of its most popular US vehicles, in certain European markets.

Rowley added: “We launched the Ford Explorer [in select markets], and it’s selling well. It’s a different product; it’s not for everybody but there are consumers who love that.

“Ford is the only American brand in Europe now and that’s a unique position that we can build upon. A lot of people are attracted to some of those characteristics and only Ford can bring products like that to the market.”

Rowley also highlighted the success of the Ranger Raptor performance pick-up, saying: “Who would have thought that would resonate with European customers?”

Rowley noted that import tariffs mean products not built within the UK-EU tariff-free trade area would only be offered as niche products in Europe in the future. Another challenge is the potential impact of any new products on Ford’s European CO2 emissions targets, which is believed to be a key reason the company has insisted it has no plans to sell the Bronco off-roader in Europe. A plug-in hybrid version of that machine is under development and it is possible that, like the Explorer, that could be sold in Europe in small volumes.

The Bronco could also reach the UK if Ford offered it as a fully electric model. While the firm has officially announced no plans to do so, when a Twitter user recently asked Ford CEO Jim Farley why it didn’t have an electric Bronco under development, he replied: “Why do you think we don’t?”

La Explorer “sta venendo bene”, neanche 8.000 unità all’anno.

Certo come già detto, ma io parlo a livello di prodotto, opel aveva auto "incomprabili" ford secondo me no.
